Leading Legal & Compliance, embedded within the Principal Investment team and reporting to its CEO, working on private market and public market transactions across the Group, with global investments in healthcare, financials and energy. A broad hands-on business-building mandate ideally suited to an exceptional lawyer who thrives in a multi-faceted commercial environment. The ability to build relationships and trust with key stakeholders is critical to the role.

Education: Degree from first-class institution
Experience: Minimum five years professional experience from Practice or PE firms (ideally magic or silver circle)
Languages: Excellent command of English required (written and spoken)

Travel : Predominately based in Singapore, though international travel will be required from time to time

Responsibilities
We are searching for a commercially focused, motivated individual to join our principal investment team in Singapore. Your key responsibilities will include:
Key responsibilities:
· Legal and compliance for Clermont’s principal investment group, with investment in healthcare, financials and energy, globally
· Overseeing or leading the investee companies’ management teams’ corporate and M&A activities including corporate and capital restructures, organic and inorganic M&A, joint venture transactions
· Managing external counsel
· Negotiating commercial transactions
· Producing and reviewing Investment Agreements including SPAs. SHAs, Term Sheets, JV agreements
· Overseeing corporate structure and regulatory requirements of the Groups investment entities and fund structures
· Researching and monitoring legal requirements for public market investments across exchanges and jurisdictions globally
· Drafting board and shareholders’ resolutions for group entities
· Oversight of Compliance Officer, as well as management of compliance requirements and policies
· Supporting the business units on range of legal issues, from contract review to external communications
