Job Description

Duties include:
• Legal support for the Group
• Supporting the Executive and Non-executive Directors in running Board and Committee meetings
• Ensuring the Group complies with high level of Corporate Governance standards
• Reviewing drafting and negotiating standard commercial agreements
• Providing support in relation to corporate transactions and legal compliance
• Providing litigation support and litigation reporting
• Liaising with external legal advisors
• Providing training for business/ sales teams on legal or related issues for commercial agreements
• Maintaining legal entity information and company records
• Drafting board documentation and minutes 
• Attending meetings/ Board Meetings 
• Provides guidance and support to directors on all company secretarial related matters
• Checking Board Governance documentation for compliance with regulations
• Staying up to date with statutory changes and developments and updating team
• Completing and advising upon internal approval processes
• Responding to company secretarial queries and questions and requests for Co Sec support
• Providing company secretarial support for corporate projects that may arise from time to time
 
Skills and experience required:
• Degree and/or a member of The Institute of Chartered Secretaries and Administrators
• Legal qualification and/or experience
• Understanding of Isle of Man Company legal framework
• A minimum of 3 years work experience in company secretarial duties for an AIM or main market company and paralegal duties
• Strong written and verbal communication, interpersonal, organisational, and forward planning skills
• Strong IT skills including Word, Excel, PowerPoint
• Ability to work and converse effectively with a large number of individuals within all levels of the Company
• Credible Board - level communicator 
• Strong recordkeeping skills
• Ability to work unsupervised, set priorities and work to tight deadlines with attention to detail
• Strong drafting and negotiation skills along with excellent business judgement and strategic thinking
